Changing a Company Manager — Documents, Timeline and Fees (2026)

Replacing the manager is a common change in the life of a company — when expanding the team, selling the business or simply optimising management. If you have an EOOD or OOD registered in the Bulgarian Commercial Register, every such change requires filing application A15.

When Is Application A15 for a Manager Change Needed?

In any of the following situations:

  • Appointing a new manager
  • Releasing the current manager
  • Changing the method of representation (if registered)

Filing Deadline

The law obliges the company to file the change within 7 days of the date the resolution was adopted (Art. 119, para. 5 of the Commerce Act). Missing the deadline may result in an administrative sanction.

Required Documents

  1. Resolution / Minutes — of the sole owner (for an EOOD) or of the General Meeting (for an OOD)
  2. Updated Articles of Incorporation / Company Agreement — if the manager is specified therein in the prescribed manner
  3. Declaration under Art. 141, para. 8 of the Commerce Act — from the new manager (not convicted of fraud, abuse, etc.)
  4. Declaration under Art. 142 of the Commerce Act — from the new manager (regarding competing activities)
  5. Notarially certified specimen signature — mandatory even for electronic filing
  6. Application A15 — completed and signed with a QES (Qualified Electronic Signature)
