7 common mistakes when registering a company and how to avoid them

Registering a company in the Commercial Register is a formalised process and mistakes can lead to rejection, loss of the paid state fee and delays. Here are the most common mistakes and how to avoid them.

1. Company Name Already Taken

The Commercial Register does not allow two companies with an identical or very similar name. Before filing your application, check the availability of your desired name on the Commercial Register portal.

Tip: You can reserve a name for 6 months via application D1.

2. Missing or Incorrect Specimen Signature

The manager's specimen signature is a mandatory part of the application. It must be notarially certified, even when filing electronically. Its absence is one of the most common reasons for rejection.

3. Capital Amount Mismatch

The capital amount in the Articles of Incorporation (or the Company Agreement) must match exactly the deposit slip from the escrow account. Even a difference of a few cents can lead to rejection.

4. Invalid Registered Address

The registered address must be real and you must have a legal basis for using it — a lease agreement, a title deed or a declaration of consent from the property owner.

5. Incomplete Declarations

The application requires several declarations (under Art. 13, Art. 141, Art. 142 of the Commerce Act). Each must be correctly completed and signed. Omitting a declaration or leaving a field blank leads to rejection.

6. Wrong Type of Application

To register an EOOD or OOD you file application A4. For a sole trader — application A1. Submitting the wrong application type results in an outright rejection.

7. Expired Reserved Name

If you reserved a company name via application D1, keep in mind that the reservation is valid for only 6 months. After it expires the name can be taken by someone else.
