Euro capital conversion — EOOD and OOD
What was done automatically
On 01.01.2026 the registered capital was replaced with euro at the official rate 1 EUR = 1.95583 BGN (Euro Introduction Act arts. 12–13 and 33).
Automatic conversion does not create a new founding document. You still need to update your corporate documents.
What you must do
- Adopt a sole-owner decision (EOOD) or general meeting protocol (OOD).
- Update the founding act / partnership agreement with capital and shares in euro.
- File with the Commercial Register using G1 (announcement only) or A4 (if rounding requires an adjustment of up to ±5% under art. 32(5)).
Deadline: 31.12.2026.

You need amounts in leva before the euro, not the euro amounts already shown in the register after 01.01.2026.
- Founding act / partnership agreement — best source; for OOD it lists partner shares.
- Current-status extract from the Commercial Register portal.
- Documents from your accountant or lawyer.

How conversion is calculated
amount_EUR = amount_BGN ÷ 1.95583
Rounding to 2 decimals follows the 3rd digit (art. 13). For OOD: convert total capital first, then allocate shares proportionally to the previous participation (art. 31(5)).
If the sum of shares differs slightly from capital due to rounding (within 5%), the law allows a simplified adjustment → application A4. Over 5% — general Commercial Act procedure.
